Terms, Privacy & Disclaimer

1.1 Agreement

By accessing or using MetaClipper.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Shape Your Brand LLC, a limited liability company organized under the laws of the State of Florida, USA ("we", "us", "our"). If you do not agree to these Terms, do not use the Service.

1.2 Eligibility

You must be at least 13 years old (or the minimum age required in your country) to use the Service. By using the Service you represent that you have the legal capacity to enter into this agreement.

1.3 License to use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business purposes, subject to these Terms. We reserve all rights not expressly granted.

1.4 Acceptable use

You agree not to:

• Use the Service to infringe any copyright, trademark, or other intellectual property or proprietary right of any third party;
• Use the Service in a way that violates YouTube's Terms of Service, the YouTube API Services Terms of Service, Google's policies, or any other applicable third-party terms;
• Attempt to download, scrape, or redistribute copyrighted video content, private videos, or content you do not have the right to use;
• Reverse engineer, decompile, or attempt to extract source code from the Service;
• Interfere with, disrupt, or overload the Service, its infrastructure, or connected third-party services (including automated scraping and rate-limit evasion);
• Use the Service for unlawful, harassing, defamatory, or deceptive purposes.

1.5 User-submitted content

When you submit a YouTube URL or video ID, you represent that you have the right to access and use the associated publicly available metadata and thumbnail. You are solely responsible for how you use any assets, metadata, transcripts, or files obtained through the Service, including compliance with copyright law, YouTube's Terms of Service, and any applicable creator or platform policies.

1.6 Third-party services (YouTube API)

Some features of the Service use the YouTube API Services. By using those features, you also agree to be bound by the YouTube Terms of Service and acknowledge Google's Privacy Policy. We are not responsible for the availability, accuracy, or content of data returned by third-party APIs.

1.7 Intellectual property

The Service, including its design, code, text, graphics, and the MetaClipper name and logo, is owned by Shape Your Brand LLC and is protected by copyright, trademark, and other applicable laws. Thumbnails, video titles, descriptions, transcripts, and other content retrieved from YouTube remain the property of their respective owners.

1.8 Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that any thumbnails, metadata, or transcripts obtained through the Service will be accurate, complete, or available.

1.9 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHAPE YOUR BRAND LLC, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED USD $50.

1.10 Indemnification

You agree to indemnify and hold harmless Shape Your Brand LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights (including copyright or YouTube's Terms of Service).

1.11 Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including any violation of these Terms. Sections that by their nature should survive termination will survive.

1.12 Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

1.13 Governing law & jurisdiction

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Florida for the resolution of any dispute related to these Terms or the Service.
